Terms of service

The rules of working together, in plain language. Last updated January 2026.

These terms govern the use of this website. Engineering work for clients is governed by a separate signed engagement agreement, which takes precedence over anything on this page. By using this site you accept these terms. If you do not accept them, please stop using the site.

1. Use of this website

  • You may read, print and share this site freely for your own business purposes.
  • You may not copy substantial parts of our content, case studies, articles or designs for republication without written permission.
  • You may not attempt to gain unauthorised access to the site, disrupt it, scrape it at a rate that degrades service for others, or use it to transmit malware or unlawful content.
  • All brand names, logos, article text and design on this site remain our property or that of our licensors.

2. Services and engagements

Ikhlas IT provides software engineering services including backend development, data and infrastructure engineering, CI/CD and DevOps, automation, web development and mobile application development. Every engagement is defined by a written agreement stating scope, deliverables, milestones, price and acceptance criteria.

Where a proposal is issued, it remains valid for 30 days. Statements on this website about pricing ranges, timelines or availability are general guidance only and form part of no contract.

3. Quotes, scope change and estimates

  • Fixed scope. We quote a fixed price for a defined scope. Work outside that scope is quoted separately before it starts.
  • Estimates are estimates. Technical unknowns can move a timeline. If we learn something that changes the plan, we tell you immediately and re-quote — we never quietly absorb the cost and deliver late.
  • Dependencies. Delays caused by late feedback, missing credentials or third-party outages are not counted against our delivery dates.

4. Payment terms

  • Projects are invoiced according to the milestones in your agreement, typically a deposit plus staged payments.
  • Invoices are payable within 14 days of issue.
  • Work may be paused if an invoice is more than 30 days overdue, after written notice.
  • Accepted currencies: USD and BDT. Bank charges are the client's responsibility.

5. Intellectual property

You own what we build for you. On final payment, all intellectual property in deliverables created specifically for you — source code, infrastructure-as-code, designs, documentation and configurations — transfers to you, excluding:

  • Pre-existing tools, libraries and internal utilities we bring to every project (you receive a perpetual, irrevocable licence to use them in your deliverables).
  • Generic know-how, techniques and patterns, which we retain and may reuse for other clients.
  • Third-party and open-source components, which remain under their own licences.

Where we create a case study or publish your project details, we will always ask for written permission first. If you say no, or ask us to remove it, we will.

6. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the engagement. This obligation survives the end of the engagement by three years. We are happy to sign your NDA — yours, not ours — before any sensitive discussion.

7. Third-party platforms and client dependencies

Some engagements depend on services we do not control — cloud providers, payment gateways, app stores, registries and third-party APIs. We are not responsible for their availability, pricing changes or policy decisions, and we will not bill you for time spent working around their outages unless your agreement says otherwise.

8. Warranties and disclaimers

  • We warrant that work delivered will materially conform to the agreed specification for 30 days after acceptance, and we will fix reported defects at no charge during that period.
  • Beyond that period, support is available through a retainer or a separate maintenance agreement.
  • This website and its content are provided “as is”. We do not warrant that the site will be uninterrupted, error-free or free of harmful components.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential or special damages, or for lost profits, revenue or data. Our total aggregate liability under any engagement is limited to the fees paid by you in the twelve months preceding the claim. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded.

10. Termination

Either party may terminate an engagement for material breach that remains uncured 14 days after written notice. You may also terminate at any milestone boundary by giving 14 days' notice. On termination you pay for work completed up to that date, and we hand over everything produced — including incomplete work — along with the runbook for it.

11. Acceptable use

We do not work on projects involving malware, spam infrastructure, unlicensed surveillance, credential theft, harassment tooling, or content that infringes others' rights. We may decline any engagement at our discretion, and will refund any unearned fees.

12. Governing law and disputes

These terms are governed by the laws of Bangladesh. Any dispute that cannot be settled conversationally within 30 days goes to the courts of Dhaka, Bangladesh — unless your engagement agreement specifies otherwise, which is common for international clients.

13. Changes

We may update these terms. The current version is always the one published on this page, with the date shown at the top. Continuing to use the website after a change means you accept it.
